1. Acceptance of Terms

Welcome to SEAMS. These Terms of Service ("Terms") govern your access to and use of the SEAMS mobile application, website located at seamssocial.com, and all related services (collectively, the "Platform") operated by SEAMS LLC, a Tennessee limited liability company ("SEAMS," "we," "us," or "our").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

If you are under 18 years of age, your parent or legal guardian must review and agree to these Terms on your behalf. If you are under 13, you may not create an account without verifiable parental consent as described in Section 4.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

3. Eligibility

To use the Platform, you must:

  • Be at least 11 years of age (with parental consent for users under 18)
  • Have the authority to enter into these Terms (if you are 18 or older)
  • Not be prohibited from using the Platform under any applicable law
  • Not have previously been banned from the Platform by SEAMS

4. COPPA — Children Under 13

The Platform is available to users as young as 11 years old. If you are under 13 years of age, you may not create an account or use the Platform without verifiable parental consent.

4.1 Parental Consent Process

When a user indicates during registration that they are under 13, SEAMS will:

  • Require a valid parent or legal guardian email address
  • Send a consent request to the parent or guardian
  • Not activate the account until verifiable consent is received
  • Provide the parent or guardian with a description of the information SEAMS collects from children and how it is used

4.2 Parental Rights

Parents and legal guardians of users under 13 have the right to:

  • Review the personal information SEAMS has collected about their child
  • Request deletion of their child's account and all associated data
  • Refuse to permit further collection or use of their child's information
  • Request that SEAMS stop collecting information from their child

5. Account Registration

To access most features of the Platform, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

You may not create an account on behalf of another person without their authorization. Organizations, teams, and clubs may create accounts subject to additional terms.

6. User Content

6.1 Your Content

The Platform allows you to upload, post, and share video highlights, profile information, statistics, and other content ("User Content"). You retain ownership of your User Content.

6.2 License to SEAMS

By uploading or posting User Content to the Platform, you grant SEAMS a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and promoting the Platform. This license continues even if you stop using the Platform, unless you delete your User Content.

6.3 Your Representations

By posting User Content, you represent and warrant that:

  • You own or have the rights to post the User Content
  • The User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights
  • The User Content does not violate these Terms or any applicable law
  • You have obtained consent from any identifiable person appearing in your User Content
  • If the User Content includes a minor other than yourself, you have obtained verifiable parental consent for that minor's appearance

6.4 Content Standards

All User Content must comply with our Community Guidelines, which are incorporated into these Terms by reference and available at seamssocial.com/community. SEAMS reserves the right to remove any User Content that violates these Terms or our Community Guidelines, at our sole discretion, without notice.

7. Prohibited Conduct

You agree not to:

  • Post content that is not related to baseball or the Platform's intended purpose
  • Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Post content that sexualizes any minor or depicts minors in an inappropriate manner
  • Impersonate any person or entity or falsely state your affiliation with any person or entity
  • Contact or attempt to contact a minor user for any purpose other than recruiting evaluation through the Platform's approved messaging channels
  • Use the Platform to solicit, collect, or store personal information of minors in violation of COPPA
  • Use automated tools, bots, or scrapers to access or collect data from the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Attempt to gain unauthorized access to the Platform or related systems
  • Use the Platform for any commercial purpose not expressly permitted by SEAMS
  • Violate any applicable federal, state, or local law or regulation

8. Scout and Coach Accounts

Users who register as scouts or coaches ("Verified Professionals") are subject to additional requirements:

  • Verified Professional status is manually reviewed and approved by SEAMS
  • Verified Professionals must provide accurate information about their organization and role
  • Verified Professionals may only contact minor users through the Platform's approved messaging channels
  • All communications between Verified Professionals and minor users are subject to monitoring and review
  • Verified Professional accounts found to engage in inappropriate conduct with minors will be permanently banned and reported to appropriate authorities

9. Intellectual Property

The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of SEAMS LLC. The SEAMS name, logo, and tagline "Every Pitch. Every Player. Every Story." are trademarks of SEAMS LLC.

10. DMCA Copyright Policy

SEAMS respects the intellectual property rights of others. If you believe that content on the Platform infringes your copyright, please submit a DMCA takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on the Platform; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (6) your physical or electronic signature.

11. Third-Party Services

The Platform may integrate with or link to third-party services (including GameChanger, Apple Sign In, Google Sign In, and others). SEAMS is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SEAMS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEAMS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF SEAMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SEAMS'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO SEAMS IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless SEAMS LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any claim, you agree to contact SEAMS at legal@seamssocial.com and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may proceed to binding arbitration as described below.

15.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Nashville, Tennessee. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

17. Termination

SEAMS reserves the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at SEAMS's sole discretion. Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including Sections 6, 9, 12, 13, 14, and 15.
